By accessing our website at techzio.io or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Cookie Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not accept these Terms and may not use our services.

TECHZIO provides enterprise IT solutions including, but not limited to:

• Artificial Intelligence & Machine Learning solutions
• Cloud infrastructure setup, migration, and management
• Custom software development and engineering
• Cybersecurity consulting, assessment, and implementation
• IT consultancy and digital transformation advisory
• System integration and technology modernization
• Microsoft product licensing and implementation services

Specific service terms, deliverables, and timelines will be defined in individual service agreements or statements of work (SOW) executed between TECHZIO and the client.

When using our website and services, you agree to:

• Provide accurate, current, and complete information when requested
• Maintain the confidentiality of any account credentials
• Use our services only for lawful purposes and in accordance with applicable laws
• Not attempt to gain unauthorized access to any part of our website, systems, or networks
• Not interfere with or disrupt the integrity or performance of our services
• Not reproduce, distribute, or create derivative works from our content without written permission
• Comply with all applicable export control and sanctions laws

All content, trademarks, logos, designs, and intellectual property on this website are owned by or licensed to TECHZIO PRIVATE LIMITED unless otherwise stated.

4.1 Our IP

The TECHZIO name, logo, and all related marks, designs, and slogans are trademarks of TECHZIO PRIVATE LIMITED. You may not use these marks without our prior written consent.

4.2 Client IP

Unless otherwise agreed in a separate service agreement, any pre-existing intellectual property belonging to the client remains the client's property. Ownership of custom work product will be governed by the applicable service agreement or SOW.

4.3 Third-Party IP

All third-party product names, logos, and trademarks mentioned on our website (including but not limited to Microsoft, AWS, Google Cloud) are the property of their respective owners. Their mention does not imply endorsement.

• Individual service engagements will be governed by separate service agreements or statements of work.
• Payment terms, including pricing, billing cycles, and payment methods, will be specified in the applicable service agreement.
• Unless otherwise agreed, all fees are non-refundable once services have been rendered.
• Late payments may be subject to interest charges as specified in the service agreement.
• All prices are exclusive of applicable taxes (including GST) unless explicitly stated otherwise.

Both parties agree to treat all confidential information shared during the course of the engagement with the same degree of care as their own confidential information. Confidential information includes business plans, technical data, pricing information, and any other information designated as confidential.

This obligation of confidentiality survives the termination of these Terms and any related service agreements for a period of three (3) years.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• TECHZIO shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services.
• Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to TECHZIO in the twelve (12) months preceding the claim.
• We are not liable for any loss of data, profits, goodwill, or business opportunities.
• This limitation applies regardless of the legal theory under which such liability is asserted.

Our website and its content are provided on an "AS IS" and "AS AVAILABLE" basis. While we strive to provide accurate and up-to-date information, we make no warranties, express or implied, regarding:

• The accuracy, completeness, or reliability of our website content
• The uninterrupted or error-free operation of our website
• The fitness of our services for any particular purpose
• The absence of viruses or other harmful components

Specific service warranties, if any, will be detailed in individual service agreements.

We may terminate or suspend your access to our services immediately, without prior notice, if:

• You breach any provision of these Terms
• We are required to do so by law
• We discontinue any or all of our services

Upon termination, the provisions of these Terms that by their nature should survive (including Intellectual Property, Confidentiality, Limitation of Liability, and Indemnification) shall continue to apply.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms shall be resolved through:

1. Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiations.
2. Mediation: If negotiations fail, the parties shall attempt mediation administered by a mutually agreed mediator.
3. Arbitration: If mediation is unsuccessful, the dispute shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Kolkata, West Bengal.
